These Terms of Service outline the standards, guidelines, and contractual principles governing the use of nextgenph.site and all professional web design, frontend development, and maintenance services performed by NextGenPH.

01.Acceptance of Terms
By visiting, browsing, or accessing nextgenph.site, or by commissioning NextGenPH ("we", "us", or "our") to design, develop, redesign, or maintain a website, you ("Client", "User", or "you") agree to be bound by these Terms of Service.
If you are entering into this agreement on behalf of a company, business, or organization, you warrant that you have full legal authority to bind that entity to these Terms.
02.Services Provided
NextGenPH provides professional, bespoke digital solutions for commercial and personal enterprises, including:
- Custom Website Design: Tailored UI/UX design structured around your business offerings and brand identity.
- Frontend Development: High-performance, mobile-first code built with Next.js, React, and modern CSS frameworks.
- Website Redesign: Re-architecting outdated or low-converting websites with modern visual polish and cleaner UX.
- Speed & SEO Optimization: Audit, Core Web Vitals optimization, semantic markup, and metadata structuring.
- Ongoing Maintenance & Support: Routine content updates, security patching, and technical assistance.
03.Project Proposals, Scope & Estimates
Every engagement commences with a written project proposal or statement of work (SOW) that clearly outlines:
1. The specific deliverables, page structures, and key features to be built.
2. The flat-rate investment cost and milestone payment schedule.
3. The estimated delivery timeline and review checkpoints.
Proposals remain valid for fourteen (14) calendar days from issuance. Any feature, third-party integration, or visual asset not explicitly detailed in the proposal is considered outside the agreed project scope.
04.Client Responsibilities & Collaboration
Successful project delivery relies on collaborative communication. As the client, you agree to:
- Supply Materials Timely: Provide necessary brand logos, copy, images, product catalogs, and required credentials before development begins.
- Provide Timely Feedback: Review design mockups and staging links within three to five (3–5) business days of delivery. Timelines may be extended if feedback or assets are delayed.
- Asset Ownership: Guarantee that all materials, media, and trademarks provided to NextGenPH do not infringe upon any third-party copyright, intellectual property, or trademark rights.
05.Pricing, Deposits & Payment Terms
We maintain honest, transparent pricing without hidden fees:
- Initial Deposit: Unless explicitly agreed otherwise in writing, an initial deposit (typically 50% of the total project fee) is required prior to starting design or development work.
- Milestone / Final Settlement: The remaining project balance is due upon review and final sign-off of the completed website on the staging server, before deployment to the live domain or repository handover.
- Accepted Payment Channels: Electronic bank transfers, GCash, or designated secure payment channels as indicated on your formal invoice.
06.Intellectual Property & Deliverables Ownership
Client Deliverables Ownership
Upon full and final payment of all project invoices, full ownership of the bespoke website design, visual compositions, customized frontend layouts, and client-specific copy created for the project transfers to the Client.
Studio Pre-Existing IP & Open Source Libraries
NextGenPH retains rights to pre-existing toolkits, internal boilerplates, custom scripts, and architectural templates. All third-party open-source components (e.g. Next.js, React, Tailwind CSS, Lucide icons) remain governed by their respective open-source licenses (such as MIT).
Portfolio & Attribution Rights
NextGenPH reserves the right to showcase the completed website, screenshots, and summary case studies in our agency portfolio, social platforms, and marketing materials, unless a mutual Non-Disclosure Agreement (NDA) is executed prior to project kickoff.
07.Third-Party Hosting, Domains & Subscriptions
The Client retains direct ownership and fiscal responsibility for:
- Domain name registration and annual registrar renewals.
- Cloud hosting or CDN infrastructure fees (e.g., Vercel, Netlify, Cloudflare).
- Third-party database, transactional email, or API subscriptions (e.g., Supabase, Resend, CMS tiers).
While we assist with DNS configuration and deployment, NextGenPH is not liable for third-party hosting outages, registrar DNS propagation delays, or platform pricing changes.
08.Revision Cycles & Scope Changes
Our standard proposals include dedicated revision rounds (typically up to two rounds of design and layout refinements during the mockup phase).
Requests for additional pages, structural overhauls after mockup sign-off, or complex new functionalities outside the proposal will be quoted transparently as a separate change order before execution.
09.Launch Warranty & Post-Launch Support
We stand behind the quality of our craftsmanship:
- 14-Day Bug-Fix Warranty: We provide a complimentary 14-day warranty post-deployment to correct any bugs, broken links, or responsive layout issues that deviate from agreed specifications.
- Exclusions: The warranty does not cover issues caused by client alterations to source files, unauthorized third-party script additions, hosting downtime, or browser updates released after delivery.
- Ongoing Support: Extended maintenance, periodic content updates, and continuous optimization are available under separate monthly or ad-hoc support agreements.
10.Termination & Cancellation
Either party may terminate an active project agreement by providing seven (7) business days written notice. In the event of early termination by the Client, the initial deposit remains non-refundable, and the Client will be invoiced for all billable milestones and verified work completed up to the termination date.
11.Limitation of Liability
To the maximum extent permitted by applicable Philippine law, NextGenPH shall not be held liable for any indirect, incidental, special, consequential, or punitive damages, including loss of business profits, lost revenue, data loss, or business interruption, arising from the operation, downtime, or failure of any website or digital asset delivered. In all circumstances, NextGenPH's total aggregate liability shall not exceed the actual fees paid by the Client to NextGenPH for the specific project in dispute.
12.Governing Law & Jurisdiction
These Terms of Service and all client agreements shall be governed by, interpreted, and construed in accordance with the laws of the Republic of the Philippines. Any dispute, controversy, or claim arising out of or relating to these terms shall be submitted exclusively to the jurisdiction of the competent courts of Cebu City, Philippines.
